Global SIM Advanced (“GSA”) Trial Agreement

THIS AGREEMENT is entered into by and between Customer and AT&T. Customer and AT&T may be referred to herein each as a “Party” and together, as the “Parties”.

1. RATES, TERMS, AND CONDITIONS:


1.1. Service Restrictions and Rates.

Customer may use Services only as set forth in this agreement, including Exhibit A. The Trial eUICC SIMs will be deactivated if Service usage exceeds any of the parameters in Exhibit A at any time during the Term.

1.2. Use of Trial eUICC SIMs.

Use of the Trial eUICC SIMs is limited to Customer and its employees only. The use of the Trial eUICC SIMs by any third parties is prohibited. Customer shall use the Trial eUICC SIMs and Service for only trialing the Service known as AT&T’s Global SIM Advanced (GSA). AT&T and its suppliers may use the outcome of this trial and any related observations, insights, feedback, ideas or suggestions from Customer (hereafter “feedback”) to validate and improve the Service, its capabilities and any other commercial or retail offering of AT&T. Any such feedback shall be the property of AT&T. In no event will Customer (a) use the Service including the Trial eUICC SIMs for the provision of any Internet access service in any country other than the United States, (b) use the Service including the Trial eUICC SIMs for any commercial or retail purpose, or (c) use any individual Trial eUICC SIM under this Agreement for an aggregate period longer than as specified in Exhibit A. Any commercial or retail use of Service will be subject to one or more separate written agreement(s) containing terms that may differ from the terms in this Agreement, including the execution of such agreement(s) by different corporate affiliates of the Parties.

1.3. Participation.

Customer agrees that by participation in this trial of AT&T’s emerging subscription management platform/capabilities does not constitute or commit AT&T to extending commercial access to this capability after the Term as described in Exhibit A.

1.4. Shipment of Trial eUICC SIMs.

Shipment within United States. If Customer requires shipment of Trial eUICC SIMs from AT&T within the United States (“U.S.”), AT&T will ship Trial eUICC SIMs within the U.S. to Customer’s designated U.S. address. Title and risk of loss to the Trial eUICC SIMs will pass to Customer on delivery to the transport carrier, for shipment to Customer’s designated location in the U.S. Customer shall be responsible for any and all export and/or re-export as well as subsequent import regulatory/trade compliance obligations regarding such Trial eUICC SIMs.

1.5. Data Usage.

Data usage and quantity limitations are specified in Exhibit A

1.6. Security.

Customer shall not violate or attempt to violate the security of the Service, including without limitation, the following: (a) accessing data not intended for Customer; (b) attempting to probe, scan or trial the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with, disrupt or disable service to any entity, host or network, including, without limitation, via means of overloading, “flooding”, “mail-bombing” or “crashing”; (d) forging any TCP/IP packet header or any part of the header information in any e-mail; (e) taking any action in order to obtain services to which Customer is not entitled; or (f) sending any virus, worm, Trojan horse or other harmful code or attachment. Violations of Service security by Customer may result in civil or criminal liability. AT&T reserves the right to monitor the Service at any and all times to facilitate compliance with this Agreement but is not required to do so. In the event that AT&T identifies any violation of terms that impact the security of the Service, as determined by AT&T in its sole discretion, then AT&T shall have the right to suspend or terminate the Agreement immediately upon written notice. THE NETWORK HAS MANY COMPLEX ELEMENTS AND IS NOT GUARANTEED AGAINST EAVESDROPPERS, HACKERS, AND DENIAL OF SERVICE ATTACKS, VIRUSES, OR INTERCEPTORS. CUSTOMER AGREES THAT AT&T WILL NOT BE LIABLE TO CUSTOMER FOR ANY LACK OF PRIVACY OR SECURITY.

1.7. Duty to Protect Network.

Customer is responsible for safeguarding its access to the Service and the Trial Devices over which the Service is provided. For purposes hereof, “safeguarding” includes, without limitation, the use of firewall, anti-virus, anti-spam and/or similar protective measures, and protection against access to unauthorized applications.

1.8. Limitations on the Service.

CUSTOMER ACKNOWLEDGES THAT SERVICE IS MADE AVAILABLE ONLY WITHIN THE OPERATING RANGE OF THE NETWORK. SERVICE MAY BE TEMPORARILY REFUSED, INTERRUPTED, OR LIMITED BECAUSE OF: (A) FACILITIES LIMITATIONS; (B) TRANSMISSION LIMITATIONS CAUSED BY ATMOSPHERIC, TERRAIN, OTHER NATURAL OR ARTIFICIAL CONDITIONS ADVERSELY AFFECTING TRANSMISSION,WEAK BATTERIES, SYSTEM OVERCAPACITY, MOVEMENT OUTSIDE A SERVICE AREA OR GAPS IN COVERAGE IN A SERVICE AREA AND OTHER CAUSES REASONABLY OUTSIDE OF AT&T’S CONTROL SUCH AS, BUT NOT LIMITED TO, INTENTIONAL OR NEGLIGENT ACTS OF THIRD PARTIES THAT DAMAGE OR IMPAIR THE NETWORK OR DISRUPT SERVICE; OR (C) EQUIPMENT MODIFICATIONS, UPGRADES, RELOCATIONS, REPAIRS, AND OTHER SIMILAR ACTIVITIES NECESSARY FOR THE PROPER OR IMPROVED OPERATION OF THE SERVICE.

1.9. Limitations on Service of Carrier Partners and In-Country Multi-IMSI Profile.

CARRIER PARTNER NETWORKS AND IN-COUNTRY MULTI-IMSI PROFILES ARE MADE AVAILABLE AS-IS AND AT&T MAKES NO WARRANTIES OR REPRESENTATIONS AS TO THE AVAILABILITY OR QUALITY OF SERVICE PROVIDED BY CARRIER PARTNERS, OR IN-COUNTRY LOCAL PROFILE USAGE AND AT&T WILL NOT BE LIABLE IN ANY CAPACITY FOR ANY ERRORS, OUTAGES, OR FAILURES OF CARRIER PARTNER NETWORKS OR IN-COUNTRY LOCAL PROFILE USAGE.

2. TERM AND TERMINATION OR SUSPENSION:

2.1. Term.

Unless otherwise earlier terminated in accordance with the terms of this Agreement, the term of this Agreement (“Term”) is as set forth in Exhibit A.

2.2. Termination or Suspension of Service.

Except as may otherwise expressly provided for herein, either Party may terminate this Agreement for convenience upon no less than twenty-four (24) hours prior written notice to the other Party. In addition, AT&T may suspend use of the Service for any violations by Customer of this Agreement at any time during the Term upon written notice to Customer. No more than fifteen (15) days after the expiration of the Term or other termination of this Agreement, Customer shall deactivate and destroy each Trial eUICC SIM and upon AT&T request, shall provide to AT&T written certification of the destruction of all such Trial eUICC SIMs.

3. Applicable Laws.

Customer will not use the Service in any manner that (a) violates any applicable law, statute, ordinance, or regulation, including but not limited to laws and regulations related to export, spamming, privacy, consumer and child protection, obscenity or defamation; or (b) is harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or similarly offensive. Throughout the Term, Customer shall at all times comply in all material respects with all laws, rules and regulations when using the Service, the Trial eUICC SIMs and the Trial Devices, including without limitation laws governing strong encryption, export/import, geolocation data, and proper disposal and registration of the Trial eUICC SIMs, and providing information necessary for AT&T’s or its Carrier Partners’ compliance with “know your customer” or “subscriber identification” requirements in each country into which the Trial eUICC SIMs are to be imported by Customer.

4. No Representations and Warranties or Liability on Trial eUICC SIMs and the Service.

AT&T MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT TO THE TRIAL EUICC SIMS AND THE SERVICE, SPECIFICALLY DISCLAIMS ANY REPRESENTATION OR WARRANTY OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND SPECIFICALLY DISCLAIMS ANY WARRANTY ARISING BY USAGE OR TRADE OR BY COURSE OF DEALING. AT&T HAS NO RESPONSIBILITY OR LIABILITY FOR THE TRIAL EUICC SIMS OR THE SERVICE PROVIDED HEREUNDER.

5. Indemnification.

Customer will defend, indemnify and hold harmless AT&T, and its affiliates, directors, officers, and employees from and against any and all third party claims, causes of actions, demands, liabilities, damages, losses, judgments, settlements, costs and expenses, including punitive damages, court costs, and reasonable attorneys’ and expert witness’ fees related to or arising out of Customer’s non-compliance with or violation of the terms of this Agreement.

6. No Waiver; Severability.

A failure by either Party to enforce any right or remedy available hereunder shall not constitute a waiver of such right or remedy. If any part of the Agreement is held invalid or unenforceable, the remainder will remain in full force and effect.

7. Governing Law.

This Agreement is governed by and construed in accordance with the laws of the country set forth in Exhibit A without regard to principles of conflicts of laws. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

Conditions of Use

The Trial eUICC SIM supports profile swapping, allowing an authorized Device to automatically switch between In-Country Multi-IMSI Profiles provisioned on the eSIM. In the United States, the authorized Device connects to the AT&T network using the AT&T Bootstrap Profile. Outside the United States, in the locations listed in the Exhibit A table, the authorized Device will switch from the AT&T Bootstrap Profile to an In-Country Multi-IMSI Profile as designated by AT&T for the location.


Subject to the terms of the Agreement, AT&T will make available Global SIM Advanced which consists of:

  • Trial eUICC SIMs
  • Access to the Global SIM Advanced Connectivity Management Platform (CMP)
  • Demo to highlight all the features of Global SIM Advanced Platform
  • Device assessment: trials to assess the device and its capabilities using all the features of the Global SIM Advanced SIM and Platform
    • The Trials will be carried out in collaboration with the customer.
  • Customer must provide relevant information to AT&T to create test account on the platform and deliver the connectivity for the Trial.
